During the term of this Contract, all technical documentation, including but not limited to manufacturing technologies, procedures, methods, formulas, data, techniques ａｎｄ know-how, to be provided by one Party to the other shall be treated by the recipient as "Confidential Information". Each Party agrees to use Confidential Information received from the other party only fｏｒthe purpose contemplated by this Contract ａｎｄ fｏｒno other purposes. Confidential Information provided is not to be reproduced in any form except as required to accomplish the intent of, ａｎｄ in accordance with the terms of, this Contract. Title to such information ａｎｄ the interest related thereto shall remain with the provider all the time.

合同有效期內(nèi)，所有對(duì)方提供的技術(shù)文檔，包括但不限于生產(chǎn)技術(shù)，流程，方法，配方，工藝以及專有技術(shù)，接收方都應(yīng)視作“保密信息”對(duì)待。各方一致同意按照合同規(guī)定使用對(duì)方的保密信息，不得擅自挪作他用。除非合同條款要求或者規(guī)定，否則雙方不得以任何形式復(fù)制對(duì)方的保密信息。保密信息所有權(quán)以及產(chǎn)生的相關(guān)利益均歸信息提供方所有。

Each Party shall provide the same care to avoid disclosure ｏｒunauthorized use of the other Party’s Confidential Information as it provides to protect its own similar proprietary information. Confidential Information must be kept by the recipient in a secure place with access limited to only such Party’s employees ｏｒagents who need to know such information fｏｒthe purpose of this Contract ａｎｄ who have similarly agreed to keep such information confidential pursuant to a written confidentiality agreement which reflects the terms hereof. The obligations of confidentiality pursuant to this Article shall survive the termination ｏｒexpiration of this Contract fｏｒa period of five (5) years.

各方需像對(duì)待己方保密信息一樣避免對(duì)方保密信息泄露或被侵權(quán)使用。接收方需存放保密信息于安全之處。保密信息的使用目的必須符合合同中所涉條款的規(guī)定，僅對(duì)有必要了解該信息的公司員工或代理人開放，且信息使用人需簽訂反映本條款的書面保密協(xié)議，保密協(xié)議有效期需至本合同終止或期滿5年為止。
